Board Changes at Cedar plc

On 1 February 2002, the Board of Redac declared its recommended cash offer for
the outstanding share capital of Cedar plc (the "Company") unconditional in all
respects.

On the same date, the existing Board of Cedar plc, consisting of Michael
Harrison, Michael Hosie, John Stanley and Lesley Knox resigned as directors of
the Company with immediate effect.

At the same meeting, the Board resolved to appoint Jon Moulton as Executive
Chairman of the Company and Edward Braniff as an Executive Director of the
Company, both with immediate effect.
