Capital Radio plc

Capital Radio plc (the Company) announces that the number of ordinary shares in
the Company (Shares) held by Mourant & Co Trustees Ltd as Trustee of the
Capital Radio Employee Trust has reduced from 610,536 Shares to 605,125 Shares
by reason of the transfer of 5,411 Shares on 31 March 2005 to a participant in
one of the Company's employee share schemes.

The executive directors of the Company are, for Companies Act purposes, deemed
to be interested in all 605,125 Shares held in the Capital Radio Employee
Trust. Their individual interests in Shares are not affected by this
announcement.
