The issuer has made the following alteration to the
Andrew Sykes Group PLC - Director's Shareholding
announcement released today.

The number of shares and the percentage figure in the second sentence of the
first paragraph should have read 25,000 and 0.030% and not 20,000 and 0.024%.
All other details remain unchanged.

                   Notification of Directors' Interest

Andrews Sykes Group plc has today been notified by the Trustee that  the
1998  Employee  Share Ownership Plan has purchased  5,000  Ordinary  20p
shares  at 145p per share.  Following this purchase the holding  of  the
Employee Share Ownership Plan is 25,000 Ordinary 20p shares representing
0.030% of the Company's issued share capital.

The following directors are potential beneficiaries under the Scheme and
therefore are deemed to have acquired a non-beneficial interest in these
shares.
