Andrews Sykes Group plc was today notified by the Trustee that they 1998
Employee Share Ownership Plan purchased a further 5,000 Ordinary 20p shares at
112p per share on 28 October 1999. Following this purchase the holding of the
Employee Share Ownership Plan is 180,000 Ordinary 20p share representing 0.211%
of the Company's issued share capital.

The following directors are potential beneficiaries under the Scheme and
therefore are deemed to have acquired a non-beneficial interest in these shares.
