                             Director Shareholding


Absolute Capital Management Holdings Limited (the "Company") announces that Mr
Michael Kloter, Non Executive Director, exercised options on 5 April 2007 over
312,500 ordinary shares in the Company at an exercise price of Euro2.00 per
ordinary share.


Subsequently, Mr Kloter sold the 312,500 ordinary shares resulting from the
exercise of the option, together with 96,975 existing shares, at a price of 448p
per share. Following this transaction, Mr Michael Kloter holds no shares in the
Company.


Application has been made for the admission of 312,500 ordinary shares to
trading on AIM. The shares will rank pari passu with existing ordinary shares
and it is expected that admission will occur on 16 April 2007.


Following admission of the new shares, the total issued share capital of the
Company will be 67,237,500 ordinary shares.
