EXPLANATORY NOTE

On October 18, 2024, WEC Energy Group, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”), which announced the appointment of Warner Baxter and John Lange to the Company’s Board of Directors (the “Board”), effective January 1, 2025. At the time of the Original 8-K, the Board had not made a determination regarding any committee assignment for Mr. Baxter or Mr. Lange. This Amendment No. 1 on Form 8-K/A to the Original 8-K is being filed to disclose the committee assignments for Mr. Baxter and Mr. Lange. Except for the foregoing, this Amendment No. 1 does not amend any other disclosure reported in the Original 8-K.

ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

Effective January 16, 2025, the Board appointed Mr. Baxter to the Audit and Oversight Committee and Mr. Lange to the Finance Committee.
