Item 8.01. Other Events.

On December 21, 2023, Pharma-Bio Serv, Inc. (the “Company”) issued a press release announcing that the Board of Directors approved a Special Dividend of $0.075 per share to shareholders. The dividend is payable on or about February 15, 2024 to shareholders of record at the close of business on January 30, 2024. A copy of the press release is filed as Exhibit 99.1 to this current report on Form 8-K and incorporated herein by reference.
