30% of the issued and outstanding shares of Transandes (the "Acquisition")

Transandes has as its principal asset the Yuty Property which covers
approximately 236,000 hectares of exploration lands located approximately
200km southeast and east of Asuncion, the capital of Paraguay. As
consideration for the Acquisition, the Company shall pay to Hirtz and
Reidl:

(i) cash consideration of US$4,500,000 (the "Cash Consideration");

(ii) upon completion of a pre-feasibility study on the Yuty Property
a deferred cash payment equal to the in situ value of 100% of the mineable
resource described in the pre-feasibility study multiplied by US$0.15/lb
of uranium (this Royalty is also payable on any additional mineable
resources that are the subject of additional pre-feasibility studies or
are mined from the Yuty Property);

(iii) a further deferred cash payment of US$0.06/lb uranium on
commencement of production from the Yuty Property calculated on 100% of
the resource calculation reported on the onset of production; and

(iv) a milling return royalty of 2.5% less any royalty amounts otherwise
payable to the Government of Paraguay as proceeds are received from the
sale or deemed sale of uranium from the Yuty Property.
