Explanation of Responses:
(1)  The 1,600 shares of common stock were granted as restricted stock pursuant to the Company Amended and Restated 2003 Stock Incentive Plan. Restrictions lapse as to 400 shares lapsed on each of July 1, 2022, October 1, 2022, January 1, 2023 and April 1, 2023, if he is a director of the Company on those dates.
