On August 8, 2019, Superior Industries International, Inc. (the
Company) awarded Matti Masanovich, the Companys Executive Vice President and Chief Financial Officer, a
one-time
retention award, comprised of a cash bonus in the amount of $583,495 and a
grant of 35,000 restricted stock units under the Companys 2018 Equity Incentive Plan. The retention award is intended to incentivize Mr. Masanovich to remain as the Companys Chief Financial Officer through the payment date of the
cash bonus and the vesting period of the restricted stock units and thereby ensure his continued employment as a key leader of the Company through the successful implementation of the Companys operational improvement plans.
The cash bonus will be paid to Mr. Masanovich in a cash lump sum on August 8, 2021 provided that he remains employed by the Company through such
date. The grant of restricted stock units will vest in full on August 8, 2021, also subject to Mr. Masanovichs continued employment through such date. In addition, Mr. Masanovich will receive the cash bonus, and the vesting of
the restricted units will accelerate, upon a termination of his employment by the Company without cause.
