EXPLANATORY NOTE

This is an amendment to the Current Report on Form 8-K of Oppenheimer Holdings Inc. (the “Company”), as originally filed with the Securities and Exchange Commission on July 30, 2021 (the “Report”). The Company is filing this amendment on Form 8-K/A to update its Total Capitalization on page 10 of the Investor Presentation from $77,507,000 to $877,507,000. The revised slides with such updated financial information are attached to this Form 8-K/A as Exhibit 99.1. No other modifications to the Report are being made by this Form 8-K/A.
