Explanation of Responses:
(1)	Consists of restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of Offerpad Solutions Inc. (the "Issuer") Class A common stock. The RSUs vest in three equal annual installments beginning on September 1, 2022 and, to the extent vested, will be settled in shares of Class A common stock within 45 days following the earliest to occur of: (i) the director's separation from service; (ii) a change in control of the Issuer; (iii) the director's death; or (iv) the director's disability.
(2)	Consists of fully-vested RSUs, which will be settled in shares of the Issuer's Class A common stock within 45 days following the earliest to occur of: (i) the director's separation from service; (ii) a change in control of the Issuer; (iii) the director's death; or (iv) the director's disability.
