Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 24, 2024, Invitation Homes Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Report”) to disclose that on September 18, 2024, the Company’s Board of Directors (the “Board”) appointed Rear Adm. H. Wyman Howard III, Ret. as a director of the Board, effective as of October 1, 2024, with a term expiring at the Company’s 2025 annual meeting of stockholders. Mr. Howard had not been appointed to any committee of the Board as of the Original Report.

The Company is filing this amendment to the Original Report to disclose that on October 21, 2024, the Board appointed Mr. Howard to serve as a member of the Board’s Audit Committee and Nominating and Corporate Governance Committee, effective immediately.

As a member of such committees, Mr. Howard will be compensated for his services as described in the Company’s definitive proxy statement relating to its 2024 annual meeting of stockholders.
