( 1)	Includes 3,296 Restricted Stock Unit awards that will be settled solely in Shares of Common Stock and therefore the reporting person is reporting these Units as Shares of Common Stock on Table 1.
( 2)	The Option (Grant Date: 06/16/2003) vested as to 25% of the option shares on the first anniversary of the Grant Date. The remaining 75% of the option shares vested ratably in three month intervals over the next three years with 100% vesting occuring on the fourth anniversary of the Grant Date.
