Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 29, 2023, Robert A. Schmidt, currently Chief Accounting Officer, informed Edgewell Personal Care Company (the “Company”) of his intention to resign, effective December 1, 2023. Mr. Schmidt’s resignation was to pursue other opportunities and did not result from any disagreements with management or the Company’s Board of Directors or its auditors. Following Mr. Schmidt’s resignation, Daniel J. Sullivan, the Company’s Chief Financial Officer, President Europe and Latin America, will serve as the Company’s principal accounting officer while the Company seeks a new Chief Accounting Officer. Mr. Sullivan’s biographical information can be found under “Executive Officers” in Part I, Item 1 of the Company’s Annual Report on Form 10-K for the fiscal year ended September 30, 2023 filed with the Securities and Exchange Commission on November 28, 2023 , which is incorporated herein by reference.
