Item 8.01 Other Events.

On January 4, 2024, Commercial Metals Company (NYSE: CMC) (the "Company") issued a press release announcing that the board of directors of the Company declared a regular quarterly cash dividend of $0.16 per share of CMC common stock. The dividend will be paid on February 1, 2024, to stockholders of record as of the close of business on January 18, 2024.

A copy of the Company's press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Irving, Texas - January 4, 2024 - Today, January 4, 2024, the board of directors of Commercial Metals Company ("CMC") (NYSE: CMC) declared a regular quarterly cash dividend of $0.16 per share of CMC common stock. CMC’s 237th consecutive quarterly dividend will be paid on February 1, 2024, to stockholders of record as of the close of business on January 18, 2024.
