Western Wireless LLC announced the results to date of its previously announced tender offer for any and all of its outstanding 9.250 percent Senior Notes due 2013 (the "Notes"), as well as its related consent solicitation. As of 5 p.m. EDT, on Thursday, Aug. 11, 2005 (the "Consent Date"), the last day and time for holders to deliver their Notes pursuant to the tender offer and be eligible to receive the Total Consideration including the Consent Fee, holders of approximately $581,977,000 in aggregate principal amount of Notes had tendered their Notes pursuant to the tender offer and delivered their consents pursuant to the consent solicitation. This participation represents approximately 97 percent of the total principal amount of Notes outstanding. Notes tendered prior to the Consent Date may no longer be withdrawn and consents delivered prior to the Consent date may no longer be revoked. Western Wireless also announced that it has received the requisite consents to adopt the proposed amendments pursuant to the consent solicitation. As a result, Western Wireless and the indenture trustee are executing a supplemental indenture in respect of such amendments. Holders who validly tendered their Notes by the Consent Date will be eligible to receive the Total Consideration offered in the tender offer and consent solicitation. Holders who validly tender their Notes after the Consent Date, and on or prior to midnight, EDT, Aug. 26, 2005 (the "Expiration Date"), will be eligible to receive the Total Consideration less the consent fee of $45.00 per $1,000 principal amount, namely the Tender Offer Consideration. Notes validly tendered prior to the Consent Date will have a settlement date of Aug. 15, 2005. Notes validly tendered after the Consent Date and on or prior to the Expiration Date will have a settlement date one business day following the expiration of the tender offer. In either case, holders whose Notes are purchased will be paid accrued and unpaid interest up to, but not including, the applicable settlement date.
