Section 5 - Corporate Governance and Management

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously reported on a Current Report on Form 8-K filed by the Registrant on February 1, 2023, the Registrant’s Board of Directors elected Monica Turner as a director, effective February 1, 2023. At the time of the election, the Board had not made a determination regarding committee assignments for Ms. Turner. On November 15, 2023, the Board of Directors appointed Ms. Turner as a member of the Audit Committee and Nominating, Governance and Social Responsibility Committee, effective on that date.

This form 8-K/A is filed as an amendment to the above-mentioned Form 8-K and in accordance with instruction no. 2 of the Instructions to Item 5.02.
