9,635,664 of these securities are held by NESR SPV Limited ("NESR SPV"). Waha Energy Limited ("Waha Energy") owns 100% of the voting shares of NESR SPV. Waha Energy is a wholly owned subsidiary of Waha Capital PJSC ("Waha Capital"). Waha Capital and Waha Energy own non-voting shares of NESR SPV that correspond to their ownership of the securities held by NESR SPV. Waha Capital and Waha Energy may be deemed to beneficially own 9,635,664 of the securities. Each reporting person disclaims beneficial ownership of all interests reported on this Form 3 except to the extent of such reporting person's pecuniary interests.
