Item 3.01. Notice of Delisting or Failure to Satisfy a Continued
Listing Rule or Standard; Transfer of Listing.
On June 26, 2019, Nasdaq notified Gulf Resources, Inc. (the
“Company”), that as a result of the resignation of one of the Company’s independent directors on April 22, 2019,
the Company is no longer in compliance with Nasdaq’s independent director and audit committee requirements as set forth in
Listing Rule 5605.
In accordance with Listing Rules 5605(b)(1)(A) and 5605(c)(4),
Nasdaq will provide the Company a cure period (the “Cure Period”) in order to regain compliance as follows:

until the earlier of the Company’s next annual shareholders’ meeting or April 22, 2020; or

if the next annual shareholders’ meeting is held before October 21, 2019, then the Company must evidence compliance no
later than October 21, 2019.
|
The Company’s Nominating Committee is in the process of
evaluating prospective board members who could serve as an independent director of the Board, and on the audit committee. The Company
will provide an update once the vacancy has been filled within the Cure Period.
