(e) On October 22, 2007, the Board of Directors of Focus
Enhancements, Inc. (the “Corporation”) adopted, and on December 21,
2007 the stockholders of the Corporation approved, an amendment to the Focus
Enhancements, Inc. Amended 2004 Stock Incentive Plan (the “2004 Plan”) to
increase the number of shares of the Corporation’s Common Stock reserved for
issuance under the 2004 Plan from 4,952,000 to 5,952,000. The amended 2004 Plan
is attached hereto as Exhibit 10.1 and incorporated herein by reference.
