Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 13, 2024, Stacy Loretz-Congdon communicated to the Board of Directors (the “Board”) of Farmer Bros. Co., a Delaware corporation (the “Company”), her decision not to stand for reelection as a member of the Board at the Company’s 2025 Annual Meeting of Stockholders. Ms. Loretz-Congdon’s decision was not related to any disagreement with the Company on any matter relating to its operations, policies or practices.
