Explanation of Responses:
( 1)	The shares reported above were inadvertently acquired and sold by Mr. Hayford's advisers, contrary to Mr. Hayford's instructions, pursuant to a discretionary investment management agreement. Upon the discovery of the transactions, Mr. Hayford disgorged $1,248.21 to the Company as required by Section 16 of the Securities Exchange Act of 1934.
