DivX, Inc. is filing this Amendment No. 1 on Form 8-K/A to amend the Company’s Form 8-K, originally filed with the Securities and Exchange Commission on December 28, 2009, to disclose the subsequent effective date of Mr. Vieux’s resignation.

(b) On December 22, 2009, Alex Vieux resigned as a director of DivX, Inc. Mr. Vieux’s resignation became effective on February 18, 2010.
