Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 4, 2021, CPI Card Group Inc. (the “Company”) announced that Guy DiMaggio ceased serving as Senior Vice President and General Manager, Secure Card, effective as of August 5, 2021. Mr. DiMaggio will continue serving the Company through September 30, 2021 in a senior advisory capacity to assist the Company during the transition. Upon his departure, Mr. DiMaggio will be eligible for benefits under the Company’s existing guidelines governing executive severance, which are described in the Company’s definitive proxy statement for its 2021 annual meeting of stockholders, filed with the Securities and Exchange Commission on April 13, 2021.
