Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 31, 2023, Mr. Riccardo Di Blasio tendered his resignation as Chief Revenue Officer of Commvault Systems, Inc. (the “Company”), to be effective January 12, 2024. The Company and our Board of Directors thanks Mr. Di Blasio for nearly five years of dedicated service to the Company’s employees, customers and partners, and wish him well in his future endeavors.

Mr. Di Blasio’s resignation was not associated with or attributable to any disagreement with the Company, including without limitation, any matter relating to the Company’s accounting principles or practices, financial statement disclosures, internal controls, management or operations.
