Item 1.01. Entry into a Material Definitive Agreement.

On May 17, 2010, China Agritech, Inc. (the “Company”) entered into a purchase agreement, dated as of May 4, 2010 (the “Agreement”), with Sinochem Fertilizer Co., Ltd. (“Sinochem”), pursuant to which the Company agreed to supply Sinochem with the Company’s “Green Vitality” organic liquid fertilizer having a value of RMB60,750,000, or approximately $9 million, for a period of one year.

Pursuant to the terms of the Agreement, the Company agreed to assist Sinochem to develop the market for the product within the PRC by, among other things, providing sales support, advertising, technical support and training to Sinochem and product demonstrations to potential customers. The Agreement terminates on April 30, 2011. A copy of the Agreement is attached hereto as Exhibit 10.1.

On May 17, 2010, the Company issued a press release announcing that it entered into the Agreement. A copy of the press release is attached hereto as Exhibit 99.1.
