EXPLANATORY NOTE

This Current Report on Form 8-K/A is being filed to update the Current Report on Form 8-K filed by BioCardia, Inc. (the “Company”) on October 18, 2023 (the “Original Report”) with the U.S. Securities and Exchange Commission (the “SEC”). The sole purpose of this amendment is to disclose, as required by SEC regulations, the Company’s decision regarding the frequency of future stockholder advisory votes on the compensation of its named executive officers. No changes have been made to the Original Report.

Submission of Matters to a Vote of Security Holders.

(d) The Company will hold future say on pay votes on an annual basis, as was recommended by the Company’s Board of Directors in the Company’s proxy statement for the 2023 annual meeting of stockholders held on October 18, 2023 (the "2023 Annual Meeting") and was subsequently approved by the Company’s stockholders at the 2023 Annual Meeting (such vote results having previously been reported in the Original Report), until the next required advisory vote regarding the frequency of say on pay votes.
