Item 1.01. Entry into a Material Definitive Agreement.

On May 30, 2008, the stockholders of Amylin Pharmaceuticals, Inc. approved an amendment to Amylin’s 2001 Equity Incentive Plan to increase by 3,500,000 shares the aggregate number of shares of Amylin’s common stock authorized for issuance under the plan. The amended and restated plan is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
