Item 1.01 Entry into a Material Definitive Agreement

On November 8, 2019, Wireless Telecom Group, Inc. and domestic subsidiaries (“the Company”), as borrowers, and Bank of America, N.A. entered into Amendment No. 4 to the Loan and Security Agreement (the “Credit Facility”) which extended the maturity date of the Term Loan from November 16, 2019 to March 31, 2020, to coincide with the extension of the Revolver Termination Date as modified by Amendment No. 3. In all other respects the agreement remains unchanged. A copy of Amendment No. 4 is filed herewith as Exhibit 10.1 and is incorporated herein by this reference.

The Credit Facility is secured by liens on all of the Company’s assets including a pledge of 66 1/3% of the equity interests in the Company’s Foreign Subsidiaries (as defined in the Credit Facility) and contains customary affirmative and negative covenants for a credit facility of this type.
