Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 2, 2024, Keith Terreri, who at the time served as Chief Financial Officer of Sow Good Inc. (the “Company”), notified the Company of his intent to resign from employment with the Company, effective March 4, 2024 (“Separation Date”). As a result of the notice of resignation, Mr. Terreri will no longer be an executive officer of the Company.
