Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 26, 2024, Jonathan Pollack resigned from the Board of Directors (the “Board”) of Blackstone Mortgage Trust, Inc. (the “Company”). The Board thanked Mr. Pollack for his dedicated service to the Company. Mr. Pollack’s decision to resign from the Board was in connection with his upcoming departure from Blackstone Inc. and was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

On February 27, 2024, the Board approved a decrease in the size of the Board from ten to nine members.
