EXPLANATORY NOTE

This Current Report on Form 8-K/A (this “Amendment”) is being filed to correct a Current Report on Form 8-K filed by us on January 9, 2024, to provide additional information regarding the extension of Silo Pharma, Inc.’s (the “Company”) stock repurchase program (the “Stock Repurchase Program”).

Item 8.01 – Other Events

On January 9, 2024, the Board of Directors of the Company approved an extension of the previously announced Stock Repurchase Program authorizing the purchase of up to $1 million of the Company’s common stock until March 31, 2024.

As of December 31, 2023, the Company had repurchased an aggregate of 264,196 shares of its common stock for a total cost of $487,016 pursuant to its Stock Repurchase Program.
