Future Departure of Director

On November 13, 2023, Gaetano J. Muzio, a member of the Company’s Board of Directors (the “Board”) since 2012, provided the Company with notice of his intention not to stand for reelection to the Board at the Company’s 2024 annual meeting of stockholders (the “2024 Annual Meeting”) and to retire from the Board at the end of his current term, which will occur at the 2024 Annual Meeting. Mr. Muzio’s decision did not involve a disagreement on any matter relating the Company’s operations, policies or practices.
