(Nasdaq: INVO) ("INVO" or the "Company"), a healthcare services company focused on expanding access to advanced fertility treatment worldwide with its INVOcell® medical device and the intravaginal culture ("IVC") procedure it enables, announced that it is soliciting waivers (the "Waiver Solicitation") from holders of the Company's common stock purchase warrants dated August 8, 2023 (the "Warrants") of the holder's right to exercise a cash payment option upon consummation of the previously announced proposed merger with NAYA Biosciences, Inc., a Delaware corporation ("NAYA").    Receipt of the waivers is a condition to the consummation of the merger.
