Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 12, 2023, Theodore Wang notified the board of directors (the “Board”) of Bellerophon Therapeutics, Inc. (the “Company”) of his resignation as a member of the Company’s Board, effective immediately. The resignation of Mr. Wang from the Company’s board of directors was due to a disagreement as to whether the Company’s board of directors should approve the plan of liquidation and dissolution of the Company.
