Explanation of Responses:
(1)	The reported shares are represented by restricted stock units, or RSUs, of which 8,548 have vested as of December 1, 2021 and the remaining shares vest beginning on January 1, 2022 in monthly installments equal to 1/36 of the total RSUs subject to the award. Settlement of the remaining vested RSUs will not occur until March 15, 2022.
(2)	In an exempt disposition to the Issuer under Rule 16b-3(e), the Reporting Person remitted shares to the Issuer in connection with the satisfaction of tax withholding obligations arising out of the vesting of RSUs.
