Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 24, 2020, W. David Tull, a member of the Boards of Directors of Meta Financial Group, Inc. (the “Company”) and its wholly-owned subsidiary MetaBank, National Association (the “Bank”), notified the Company and the Bank of his resignation from the Boards of Directors of the Company and the Bank effective November 24, 2020.

Mr. Tull founded Crestmark Bancorp, Inc. (“Crestmark”), a commercial bank, in 1996 and served as Crestmark’s Chairman and Chief Executive Officer from its inception until the Company acquired Crestmark in August 2018, at which time Mr. Tull became a member of the Boards of Directors of the Company and the Bank.

The Company and the Bank thank Mr. Tull for his services and contributions to Crestmark, the Company and the Bank, and wish him well.
