5.125% Senior Notes due 2027
The US$700,000,000 aggregate principal amount of 5.125% Senior Notes due 2027 (the Notes) offered by this prospectus
supplement will bear interest at the rate of 5.125% per annum from September 22, 2020 and will mature on October 15, 2027. We will pay interest on the Notes on April 15 and October 15 of each year, beginning on April 15,
2021. The Notes will be unsecured obligations and will rank equally with all of our other unsecured and unsubordinated obligations. We may redeem the Notes, in whole or in part, at any time at the redemption prices described in this prospectus
supplement, including accrued and unpaid interest.
This prospectus supplement does not qualify the distribution of any
Notes which may be offered or sold in any province or territory of Canada, including the Province of British Columbia, and any such sales will only be made pursuant to private placement exemptions from the prospectus requirements of the securities
laws of such provinces and territories.
We will not apply to list the Notes on any securities exchange or to include the
