Item 2.03 Creation of a Direct Financial
Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On January 2, 2020
Black Ridge Oil & Gas, Inc. (the “Company”) deposited 500,000 shares of its holdings of Allied Esports Entertainment
Inc. (NASDAQ: AESE) pursuant to its brokerage account agreement with RBC Capital Markets, LLC. Under this standard brokerage agreement,
the Company will be able to borrow funds secured by the value of the AESE shares pursuant to a standard margin account arrangement.
The current value of the deposited AESE shares is $1,275,000 based on a closing price of $2.55 as of January 6, 2019.
