Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 21, 2019, Courtney Clark, who had been serving as a director of the registrant, resigned due to personal reasons. Ms. Clark had chaired the Audit Committee of the Board of Directors.
