Item 8.01. Other Items.

On September 16, 2019 the District Court of Travis County, Texas found that Jack K. Reid and Stephen A. Aguilar of Ressler + Wayne Ressler, P.C., the purported attorneys for CipherLoc Corporation (the “Company”), lacked authority to file the lawsuit on behalf of the Company on August 13, 2019 against Tom Wilkinson, Anthony Ambrose, Manchester Management PR, LLC and Manchester Explorer, L.P. The order states that the law firm of Ressler + Wynne Ressler, P.C., including attorneys Jack K. Reid and Stephen A. Aguilar are barred from appearing in the case as counsel for the Company. The order also states that plaintiffs’ verified original petition, application for TRO, temporary injunction and permanent injunction is stricken to the extent that it purports to make claims on the Company’s behalf.
