The accompanying Information Statement is being furnished to the holders of shares of the common stock of Blake Insomnia Therapeutics, Inc. (the "Company"), a Nevada corporation. The Board of Directors of the Company (the "Board") is not soliciting your proxy and you are requested not to send us a proxy. The purpose of this Information Statement is to notify you of actions already approved by written consent of the holder of a majority of the outstanding common stock (the “Majority Shareholder”) and the Board:

To approve an amendment to the Articles of Incorporation of the Company to change the name of the Company to “BioHemp International, Inc.” (the “Name Change”).

 

The Name Change is hereinafter referred to as the “Current Action.”

 

The Current Action has been approved by the Board and the shareholders of action by written consent (the “Written Consent”) as of May 7th, 2019 (the “Record Date”), by the Majority Shareholder holding 99.94% of the voting rights of the outstanding shares of our common stock, par value $0.0001 per share (the “Common Stock”). In accordance with Rule 14c-2 promulgated under the Securities Exchange Act of 1934, as amended, the Current Action will become effective no sooner than twenty (20) days after we mail this notice and the accompanying Information Statement to our stockholders.

 

The written consent that we received constitutes the only stockholder approval required for the actions under Nevada law and, as a result, no further action by any other stockholder is required to approve the actions. We have not and will not be soliciting your approval of the Current Action.

 

This notice and the accompanying Information Statement are being mailed to our stockholders on or about June 12th, 2019.

GENERAL INFORMATION

 

This Information Statement has been filed with the Securities and Exchange Commission and is being furnished, pursuant to Section 14C of the Exchange Act, to the shareholders (the “Shareholders”) of the Common Stock, of Blake Insomnia Therapeutics, Inc., a Nevada corporation (the “Company” or “Blake Insomnia”), to notify such Shareholders that on May 7th, 2019, the Board of Directors of the Company (the “Board”) and shareholder holding a majority of the voting rights of the outstanding shares of our common stock (the “Majority Shareholder”), par value $0.0001 per share (the “Common Stock”) approved and authorized the Company to file an amendment to the Articles of Incorporation of the Company to change the name of the Company to “BioHemp International, Inc.” (the “Name Change” or “Current Action”).

 

The Current Action was approved by Mr. Daniel Cattlin, the sole former member of our Board, and by FJ Investments International, Inc., which holds of approximately 99.94% of the outstanding voting capital stock of the Company. Following the filing of the preliminary information statement with the SEC, as discussed below, Daniel Blum was elected as a director of the Company and appointed as the sole officer of the Company, in connection with which, Mr. Cattlin resigned from the Board and from all positions with the Company.

Why am I not being asked to vote on the Current Action?

 

The holder of a majority of the issued and outstanding shares of Common Stock has already approved the Current Action pursuant to a written consent in lieu of a meeting. Such approval, together with the approval of the Company’s Board of Directors, is sufficient under Nevada law, and no further approval by our shareholders is required.

 

What Vote Is Required to Approve The Current Action?

 

Approval of the Current Action requires the affirmative vote of the holders of not less than a majority of the votes entitled to be cast by holders of record of the 25,032,517 issued and outstanding shares of common stock as of May 7th, 2019.

 

Who Voted in Favor of the Current Action?

 

The Shareholder owning an aggregate of 25,018,000 shares of our Common Stock, representing approximately 99.94% of the Common Stock. Such shareholder shall be referred to as the “Majority Shareholder.”

 

What Rights Do Shareholders Have to Dissent From the Current Action?

 

Company shareholders do not have dissenters’ rights or the right to seek the appraisal of their shares under Nevada law.

AMENDMENT TO THE CERTIFICATE OF AMENDMENT OF THE ARTICLES OF INCORPORATION

 

On May 7th, 2019, our Board of Directors (the “Board”) adopted a resolution declaring it advisable to amend our Articles of Incorporation to effect the Current Action, wherein a prior name change, previously submitted to shareholders and approved was revoked. Our Board of Directors further directed that the new Certificate of Amendment of the Articles of Incorporation be submitted for consideration by our shareholders. By written consent, dated as of May 7th, 2019, the holders of a majority of the Company’s outstanding shares approved and adopted resolutions to amend the Company’s Articles of Incorporation to reflect the Current Action.

 

Reason for the Name Change

 

The Company’s Board has determined it to be in the best interests of the Company and its shareholders to change the Company’s business focus from within the medical sector. As disclosed in the Company’s public reports, the Company previously has been focusing on improving nighttime and daytime quality of life for people with insomnia. Due to the difficulties the Company has encountered with raising sufficient capital to implement the Company’s business strategy, the Board has considered various alternatives, and determined that it is in the best interests of the Company and its shareholders to transition to a new market and business focus.

 

The Company plans to focus on establishing a foothold on the fast-growing consumer hemp and cannabidiol (CBD) market. With the passage of the 2018 Farm Bill, which formally legalized hemp crop and its extracts, primarily CBD, the Board believes that the consumer market in the US is poised for exponential growth, with projections that the CBD market is expected to reach an estimated value of $22 billion by 2022.

 

The Company is looking to capitalize and leverage the public markets to acquire market share through consolidation and business acquisitions. The Company will seek to create a platform that will combine equity and capital to facilitate acquisitions of premium branded products.

 

The Board also believes that it is in the best interests of the Company to change the name of the Company to reflect the new business focus. The Company has begun the process of amending its articles of incorporation to change the name of the Company, which requires approval of the Board and the Shareholders. The Company will provide additional information about the name change, as well as the development of the new business strategies and their implementation, in the coming weeks.

 

Change in Management

 

On May 15, 2019, the Board voted to increase the size of the Board from one director to two directors, and to recommend that the shareholders of the Company elect Daniel Blum to serve as a member of the Board. Further, on May 15, 2019, the Majority Shareholder elected Daniel Blum to serve on the Board of the Company.

 

Additionally, on May 15, 2019, Mr. Cattlin, the Company’s President, Chief Executive Officer, Treasurer, and a member of the Board, submitted to the Company his resignation letter pursuant to which he resigned from his positions as President, Chief Executive Officer, Treasurer, and member of the Board. Mr. Cattlin’s resignation was not a result of any disagreements relating to the Company’s operations, policies or practices.

 

Also, on May 15, 2019, the Board accepted the resignation of Daniel Cattlin and appointed Daniel Blum to serve as the President, Chief Executive Officer, Secretary, and Treasurer of the Company.
