Item 7.01. Regulation FD Disclosure.

JMP Group LLC (the “Registrant”) is announcing that it has agreed in a non-binding letter of intent to sell general the partnership interests in the Harvest Small Cap Partners fund entities to a newly formed entity owned by Jeff Osher, the Portfolio Manager of the Harvest Small Cap Partners funds.

Completion of the sale is subject to certain terms and conditions, including the negotiation and execution of mutually satisfactory definitive agreements and receipt of requisite approvals. The parties are working toward the execution of definitive agreements by year-end, assuming all conditions in the letter of intent are satisfied by the required time lines. The expected closing date will be December 31, 2018.
