Issue Date
means December 12, 2017.
Lien
means any lien, mortgage,
deed of trust, pledge, security interest, charge or encumbrance of any kind (including any conditional sale or other title retention agreement, any lease in the nature thereof and any agreement to give any security interest);
provided
, that,
in any event and not in limitation of the foregoing, a lease shall not be deemed to be a Lien if such lease is classified as an operating lease under GAAP.
Material Subsidiary
means a
significant subsidiary
as defined in Rule
1-02(w)
of Regulation

under the Securities Act.
Moodys
means Moodys Investors Service, Inc., or any successor to the rating agency business
thereof.
Non-cash
Charges
means, with respect to any Person, (a) losses on asset sales,
disposals or abandonments, (b) any impairment charge or asset
write-off
related to intangible assets, longlived assets, and investments in debt and equity securities pursuant to GAAP, (c) all losses
from investments recorded using the equity method, (d) stock-based awards compensation expense, and (e) other
non-cash
charges (provided that if any
non-cash
charges referred to in this clause (e) represent an accrual or reserve for potential cash items in any future period, the cash payment in respect thereof in such future period shall be subtracted from Consolidated EBITDA to such extent, and
excluding amortization of a prepaid cash item that was paid in a prior period).
Obligations
means all obligations for principal,
premium, interest, penalties, fees, indemnifications, reimbursements, damages and other liabilities payable under the documentation governing any Indebtedness.
Pari Passu Indebtedness
means any Indebtedness of the Company that ranks pari passu in right of payment with the notes.
Participating Member State
means each state, so described in any European Monetary Union legislation, which was a participating member state on December 31, 2003.
Permitted Liens
means the following types of Liens:
(1) Liens for taxes, assessments or governmental charges or claims either (a) not delinquent or (b) contested in good faith by appropriate proceedings and as to which the Company or its Restricted
Subsidiaries shall have set aside on its books such reserves as may be required pursuant to GAAP;
(2) statutory Liens of landlords and
Liens of carriers, warehousemen, mechanics, suppliers, materialmen, repairmen and other Liens imposed by law incurred in the ordinary course of business for sums not yet delinquent or being contested in good faith, if such reserve or other
appropriate provision, if any, as shall be required by GAAP shall have been made in respect thereof;
(3) Liens incurred or deposits made
in the ordinary course of business in connection with workers compensation, unemployment insurance and other types of social security,
