The TSX Venture Exchange has accepted for filing documentation
relating to a Share Purchase Agreement dated April 10, 2024 (the "Agreement"), between
Decisive Dividend Corporation (the "Company") and arm's
length parties to the Company. Pursuant to the terms of the
Agreement, the Company has acquired Techbelt Ltd. for a base
purchase price of $6.3-million,
$602,525 of which was satisfied
through the issuance of 57,879 common shares of the Company at a
deemed price of $10.41 per share. The
balance of the purchase price was paid in cash. Pursuant to the
Agreement, the Company is also required to pay an additional
2.2 million pounds sterling
contingent on Techbelt Ltd. achieving certain earnings targets over
the next three years.
