               Conversion of Loan Notes and Additional Listing



The Company has received a notice of conversion, in accordance with the Loan
Note Instrument entered into between Evolution Beeson Gregory Limited and the
Company, to convert #40,000 into 40,000,000 fully paid ordinary shares in the
Company.



The Company will make application for the 40,000,000 new ordinary shares to be
admitted to trading on AIM and admission is expected to occur on 9 December
2004.
