             Vocalis Group plc ("Vocalis" or "the Company")

Result  of  the  Open Offer to Vocalis shareholders 
and Extraordinary  General Meeting

The  Board of Vocalis announces the result of the placing and open offer  (the
"Placing  and  Open  Offer")  made on 28 April 1999.   Under  the  Open  Offer
10,920,202  new  ordinary shares of 5p each (the "New Ordinary  Shares")  were
subject  to  application for subscription by qualifying  shareholders  of  the
Company.   Certain  of  the  Directors and  other  Vocalis  shareholders  gave
irrevocable undertakings not to take up their entitlements to an aggregate  of
2,618,345  New Ordinary Shares and these New Ordinary Shares were placed  firm
with  institutional  investors  at 85p per  New  Ordinary  Share  (the  "Issue
Price").

The  Open  Offer closed at 3.00 p.m. on Thursday, 20 May 1999.  8,301,857  New
Ordinary  Shares  were  subject to recall under the  Open  Offer.   Qualifying
shareholders   applied  for  a  total  of  6,972,953  New   Ordinary   Shares,
representing approximately 83.99 per cent. of the New Ordinary Shares  subject
to  recall by qualifying shareholders under the Open Offer.  The New  Ordinary
Shares not taken up have been placed with institutional investors at the Issue
Price.

In  addition, the Board of Vocalis announces that at the Extraordinary General
Meeting of the Company held earlier today, the special resolutions proposed at
the  meeting  enabling, inter alia, the Placing and Open Offer to take  place,
were duly passed.

Upon  admission of the New Ordinary Shares to the Official List of the  London
Stock  Exchange, the New Ordinary Shares will rank pari passu in all  respects
with the  existing ordinary shares of 5p each currently in issue.  Dealings in
the  New Ordinary Shares are expected to commence on the Official List of  the
London Stock Exchange on Tuesday, 25 May 1999.
