The Wilson Connolly Employee Benefit Trust Limited

Taylor Woodrow plc ("the company") has been notified that on 9 October 2006, The
Wilson Connolly Employee Benefit Trust Limited ("EBT") purchased 23,912 (twenty
three thousand nine hundred and twelve) ordinary shares of 25p each in the
company ("shares") at an average price per share of 352.453 pence.


The said shares were purchased to meet the future maturing options under the
Wilson Connolly Savings-Related Share Option Scheme, the Taylor Woodrow Savings-
Related Share Option Schemes and the Taylor Woodrow Executive Share Option
Plans.


Following the purchase, the EBT holds 138,589 shares.

Each of the executive directors of the company is a potential beneficiary under
the EBT and therefore, in accordance with section 329 Companies Act 1985, is
regarded as having a notional interest in the EBT holding of 138,589 shares.
