On 2nd October 2002, Abacus Corporate Trustee Limited, the trustee of the
Thistle Hotels Employee Benefits Trust (the "Trust"), purchased in the market
925,000 ordinary shares of 2513/20p each in the Company ("Ordinary Shares") at a
price of #1.17 per Ordinary Share.



The Trust is a discretionary trust whose beneficiaries include all employees,
including directors, of the Company.
